TERMS AND CONDITIONS PLEASE READ THE FOLLOWING AGREEMENT BEFORE ACCESSING CTE COMPUTER'S DIAL UP NETWORK. CTE COMPUTER INC. IS ACTING AS AN ACCESS PROVIDER ONLY. CTE COMPUTER INC. HAS NO CONTROL OVER THE CONTENT OF, OR THE MATERIALS AVAILABLE TO OUR CUSTOMERS ON THE INTERNET. CTE COMPUTER INC. RECOMMENDS STRICT PARENTAL GUIDANCE WHERE MINORS ARE INVOLVED. 1. Services CTE Computer will provide services or assistance in the internet access on its computing and network systems to individual account holders in exchange of payment of fees, and in compliance with the terms and conditions of this Agreement. CTE Computer maintains only the actual data connection to the Internet. We do not maintain or offer no-cost support on your software. Software is supported by the respective software manufacturer. If you require software support from CTE Computer, it will be billed at our normal hourly rate. 2.0 Use of services 2.1 - A CTE Computer account is for individual personal use only, and the account holder therefore agrees to maintain a secure password for the account, and not to share this password with anyone else. 2.2 - The account holder further agrees not to use the CTE Computer account for unattended automated operations, or for multi-user applications, or server connectivity applications. 2.3 - The account holder agrees to use the services as permitted by local, state and federal law. The account holder shall not use the services or carry out any business activity or solicit performance of any activity that is prohibited by law. 2.4 - The account holder agrees not to use the CTE Computer site to obtain, reproduce or distribute in any way, information, software or other material which is protected by copyright, without obtaining permission of the copyright owner. 2.5 - CTE Computer reserves the right to disconnect sessions after a pre-defined period of inactivity and to restrict the length of sessions if required. The account holder agrees not to use internet applications for the purpose of simulating network activity, such as pinging and others, to avoid session inactivity disconnection. 2.6 - Dial up service is for occasional use only. This is not a permanent full-time connection. Allowed usage is 150 hours per month. Usage above 150 hours per month will be billed as additional time to your account. Accounts on-line for extended periods of time will be disconnected. 2.7 - CTE Computer reserves the right to prioritize access connectivity if required in periods of peak network demand. The heaviest usage customers may find their access temporarily restricted during periods of peak network demand (generally evening hours). 2.8 - The account holder acknowledges that CTE Computer will terminate the account without notice, if he does not comply with these terms. 3. Privacy CTE Computer cannot guarantee privacy to its account holders. It is therefore recommended that this service not be used for the transmission of confidential information. Any such use shall be at the sole risk of the account holder, and CTE Computer shall be relieved of all liability in connection therewith. 4. Transactions on the internet Any purchase or transaction through the CTE Computer site or the internet will require the account holder to divulge some personal information, credit card number or other details of payment. The account holder agrees that any information provided to a merchant or other provider through the CTE Computer site, will be accurate. The account holder agrees to pay all charges incurred by him or other users of his account and credit card or other payment mechanisms at the prices in effect when such charges are incurred. The account holder will also be responsible for paying all applicable taxes, if any, relating to purchases on the CTE Computer site. 5. Confidential Information The account holder authorizes CTE Computer to collect and retain, from any party, information relating to his utilization of the CTE Computer site, and hereby authorizes any party to provide us with such information. The account holder understands and agrees that unless he notifies CTE Computer to the contrary by Email, he further authorizes CTE Computer to disclose, on a confidential basis, to any party with whom CTE Computer has business relations, all information relating to his dealings with us and the CTE Computer site. A file for each account holder will be kept at CTE Computer's California head office which the account holder may access at any time. 6. Indemnity The account holder agrees to defend, indemnify and hold CTE Computer harmless from any and all liabilities, costs and expenses, including reasonable attorney's fees, resulting from the account holder receiving CTE Computer services which cause direct or indirect damage to any party. 7. Trademarks CTE Computer Inc., logos and icons identifying CTE Computer's services referenced herein are trademarks or registered trademarks of CTE Computer. All other product and/or brand or company names mentioned herein are the trademarks of their respective owners. 8. Territory The CTE Computer Internet access is only offered in California.. 9.0 Payment of fees 9.1 - The account holder will pay CTE Computer a fee, as set out in the CTE Computer dial-up price list. 9.2 - The CTE Computer accounting cycle begins on the 1st of each month, and charges for new accounts are prorated. 9.3 - All payments for services will be prepaid and submitted in advance of receiving services. There are no refunds on any prepaid amounts. 9.4 - Access fees appear as "CTE" on your credit card statement. 10.0 Account Renewal and Termination 10.1 - Accounts shall be automatically renewed for successive monthly terms on the expiry of the initial and each successive monthly term unless the account holder or CTE Computer gives the other party notice in writing of the termination as hereinafter provided. (a) if the account holder fails to pay for the use of the CTE Computer services or fails to pay any other amount owed to CTE Computer in accordance with its invoice terms, CTE Computer may terminate its services without notice to the account holder; (b> the agreement may be terminated by either party upon 30 days written notice. In the case of the account holder, notice shall be directed to the address provided on the account holder file. 11.0 Miscellaneous 11.1 - This agreement shall be governed by and construed in accordance with the laws of the California, and any legal action regarding the Agreement shall be brought in the Courts of California and the parties hereto hereby attorn to that jurisdiction. 11.2 - Furthermore, upon notice published on line by CTE Computer services, the above terms and conditions may be modified, prices for services may be changed, as well as services may be discontinued or changed. 11.3 - If the account holder is not satisfied with the CTE Computer site operations, or with these terms and conditions, policies and practices, his sole and exclusive remedy is to discontinue using the CTE Computer access. The account holder will please notify our Accounting department at 1-562-421-7105 to initiate a closure of his account. By using CTE Computer services you indicate your agreement and approval of the above policies.
